1. About these terms
These Membership and Share Allocation Terms ("Terms") are a binding agreement between you and Huntos Corporation ("Huntos", "we", "us", "our") when you create a Huntos account, complete a share claim, or otherwise participate in Huntos membership.
Please read them with our Privacy Policy, Important Information and Risk Statement, Cookie Notice, Acceptable Use Policy, and Website Terms of Use. If anything conflicts, the document that deals most specifically with the subject matter prevails for that subject.
The share allocation mechanics in clause 6 (Allocation) are also identified as allocation terms version allocation-2026-10-20.
2. Who we are
Huntos Corporation is the legal entity behind the Huntos brand and tagline "We all rise together". Huntos is in formation and is not yet incorporated. We intend to incorporate in New Zealand; when incorporation is complete we will publish our registration number and registered office on huntos.hn and huntos.cloud.
Until then, Huntos operates this website and membership programme as Huntos Corporation in formation, led by Michael Smith, Founder.
Official contact addresses for legal matters are [email protected] and [email protected]. We only send official membership and security email from @huntos.hn or @huntos.cloud domains.
3. Definitions
In these Terms:
- "Member" means a natural person who has completed a share claim and holds an allocation or issued share under these Terms.
- "Allocation" means the reservation of a specific numbered share in the total issued share capital of Huntos (9,000,000,000 shares) for a Member, held in trust for the Member until formal issue as described in clause 6.
- "Huntos Account" means the stored-value or payment account Huntos provides to a Member (directly or through a licensed partner) under separate Huntos Account terms, used for dividends and other permitted payments.
- "Claim" means the process by which an eligible person requests membership and share allocation through email sign-in, due diligence questions, and declarations.
- "Verification" or "KYC" means documentary customer due diligence and identity verification under applicable anti-money laundering and countering financing of terrorism (AML/CFT) laws.
- "Unallocated shares" means shares in the total share capital that have not yet been allocated to Members.
- "Website" means huntos.hn, huntos.cloud, and pages we operate on those domains (including redirects from huntos.co.uk and huntos.uk).
4. Eligibility
You may claim exactly one share for yourself only if you are a natural person aged 18 or older, are legally capable of entering into binding contracts, and are not prohibited from participating by applicable law or by a previous cancellation under clause 18.
You must claim for yourself, not on behalf of another person, company, trust, or entity. One share per person worldwide: duplicate, fake, or borrowed identities are forbidden.
We may require evidence of eligibility at any time. We may refuse or cancel a claim if we reasonably believe you do not meet these requirements.
5. Membership and Huntos account access
Membership begins when you complete a Claim and we record an Allocation. You access your membership through a Huntos account secured by email and magic-link sign-in.
You are responsible for keeping your email secure and for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorised access.
A Huntos Account for payments may be opened when Huntos offers that service and you accept the separate Huntos Account terms. Until then, references to Huntos Account in these Terms describe the service we intend to provide before dividends are paid.
6. Share allocation
When you complete a Claim, Huntos allocates a specific numbered share to you from the unallocated pool. Allocation is free of charge and is not an offer of financial products for subscription or purchase.
Until Huntos is incorporated and the relevant share class exists in a constitution, an Allocation is an honest reservation of a specific share number for you. It is held in trust for you and recorded against your membership. It does not yet constitute registration of legal title in your name.
After incorporation and creation of the share class, your Allocation will be registered in your name only after successful Verification and formal issue in accordance with our constitution and applicable law.
We will show your allocated share number in your account when allocation completes. Allocations are personal, non-transferable, and subject to these Terms and future constitutional documents.
8. Identity verification
Verification uses documentary KYC under AML/CFT laws applying to Huntos and to you as a member. We will require Verification before the first dividend is paid to you, or earlier if we reach a membership milestone (for example, one million members) or if law or risk requires earlier verification.
If Verification fails, is not completed within a reasonable period after we request it, or information you provided is materially false, we may release your Allocation back to the unallocated pool and suspend or end membership, subject to clause 18.
Tax identification numbers and similar sensitive fields are encrypted at rest. Provide accurate legal name, date of birth, nationality, phone, residential address, tax residency, US person status (FATCA), politically exposed person status, and confirmations that you act on your own behalf and that your information is accurate.
10. Surrender
You may surrender your Allocation or issued share at any time through your account or by written request to [email protected]. On surrender, the specific share number returns to the unallocated pool and your membership share rights end, subject to records we must retain by law.
If you remain eligible, you may claim again later and receive a new Allocation with a new share number. Repeated surrender and reclaim for abuse or evasion may be refused.
11. Dividends
Dividends are wholly discretionary. They may be declared by the Huntos board only from lawful distributable profits and only if the solvency requirements of the New Zealand Companies Act 1993 (including sections 4 and 52) are met at the time of declaration and payment.
Dividends are never promised or guaranteed and may never be paid. If declared, dividends are paid only into your Huntos Account. Tax on dividends is your responsibility; Huntos may withhold where law requires.
The balance accumulated in your Huntos Account belongs to you and passes to your estate according to law. The membership share itself still retires on death as described in clause 9.
12. Huntos Account
A Huntos Account is a stored-value or payment account provided by Huntos directly or through a licensed partner under separate terms you must accept before use.
We will obtain required licences or registrations, or use licensed partners, before operating Huntos Accounts or paying dividends in a regulated manner. Until then, descriptions of Huntos Accounts in these Terms are forward-looking.
Huntos Account terms will govern fees (if any), limits, statements, disputes, and closure. These Terms govern your membership share; the Huntos Account agreement governs payment services.
13. Your promises
You promise that information you give Huntos is accurate and complete, that you act on your own behalf, that you meet eligibility requirements, and that you will update us when material information changes.
You will not attempt to claim more than one share, use another person's identity, or assist others to breach these Terms. You will comply with the Acceptable Use Policy and applicable law.
14. What we provide
We provide the Website, membership accounts, share allocation, communications about Huntos and its investments, and (when available) Huntos Accounts and dividends as described in these Terms and future constitutional documents.
We may change features, suspend the Claim process for capacity or legal reasons, or pause allocations to protect the integrity of the programme, with notice where practicable.
15. Live feed and privacy
The live share feed shows real allocations only. We display your first name only if you opt in, and country only if at least five members live there. You may change that preference at any time in your account.
Our Privacy Policy explains how we process personal data, including due diligence and Verification data, international transfers, and your rights.
16. Regulatory status
Huntos is not currently licensed or registered by any financial regulator and holds no financial services licence. A free share Allocation is not an offer of financial products for subscription or purchase.
Nothing on the Website or in these Terms is financial, legal, or tax advice. Before regulated activities such as operating Huntos Accounts or paying dividends, Huntos will obtain required licences or registrations or use licensed partners. No regulator has approved Huntos.
17. AI assistant
The Website may include an AI assistant to answer questions and take enquiries and business investment applications. Assistant output may be wrong and is not advice. Binding documents (these Terms, Privacy Policy, constitution when published) prevail.
Assistant messages are processed through Huntos's AI gateway, which may route to third-party model providers under contract. Do not share passwords, full document numbers, or other sensitive information in chat.
18. Suspension and cancellation
We may suspend or cancel membership and release Allocations if you breach these Terms, fail Verification, provide false information, maintain multiple claims, attack or misuse our systems, or if we must do so by law or to protect other members or Huntos.
Where reasonable, we will give you notice and an opportunity to respond before cancellation, except for urgent fraud, security, or legal situations.
19. Liability
To the fullest extent permitted by law, Huntos is not liable for indirect or consequential loss, loss of profit, or loss of anticipated dividends or share value. Our aggregate liability arising from membership or Allocation is limited to NZD $100 except where liability cannot be limited by law.
Nothing in these Terms excludes or limits rights or remedies you have under non-excludable consumer protection laws (including the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, the UK Consumer Rights Act 2015, the Australian Consumer Law, and similar mandatory laws).
20. Indemnity
You indemnify Huntos against losses arising from your breach of these Terms, false information you provided, or misuse of the Website, except to the extent caused by Huntos's fraud or wilful misconduct.
21. Changes to these Terms
We may update these Terms for legal, regulatory, or operational reasons. We will publish the new version with an effective date and, for material changes affecting existing Members, provide reasonable notice by email or account message.
Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, you may surrender your share under clause 10.
22. Complaints
Contact [email protected] first for membership issues. For legal complaints, email [email protected] with enough detail for us to investigate.
If you are not satisfied with our response, you may complain to the New Zealand Office of the Privacy Commissioner for privacy matters, or pursue remedies under clause 23. Financial conduct complaints may be referred to relevant authorities once Huntos is regulated; today Huntos is not a licensed financial service provider.
23. Governing law and courts
These Terms are governed by the laws of New Zealand. You and Huntos submit to the non-exclusive jurisdiction of the New Zealand courts.
If you are a consumer, you keep the protection of mandatory laws of your country of residence that cannot be contracted away.
24. General
Delay or failure to enforce a provision is not a waiver. If a provision is invalid, the rest remains in effect. You may not assign your membership; Huntos may assign its rights subject to your interests as a Member.
These Terms are in English. Translations may be provided for convenience; the English version controls if there is a conflict.
